The sale of any Toyota vehicle, product or service is effected through an independent authorized Toyota automobile dealer (a "Dealer") and is subject to, and governed exclusively by, the Legal Terms and Conditions of the applicable sale, lease or retail installment contract entered into between you and the Dealer. The Dealers are not affiliates of Toyota, TFS, TMMC, CAPTIN or any Affiliate. Accordingly, any purchase you make is concluded exclusively between you and the Dealer you select from this Site, and no purchase is made with Toyota, TFS, TMMC, CAPTIN or any Affiliate. All financial services and promotional sales programs on this Site are only available through the Dealers, and in the case of regional sales programs which may not be described on this Site, through the Dealers in the region. The Dealer that you select from this Site reserves the right to determine whether you qualify for credit or any promotional sales program. The Dealers are under no obligation to sell any vehicle, product or service at the prices posted on this Site and Toyota, TFS, TMMC, CAPTIN and the Affiliates are not responsible for the prices set by any Dealer. If permitted or available through any feature or service on any of the Sites, you (a) upload content to any of the Sites or download content from any of the Sites via a mobile device, (b) receive and reply to messages from or on any of the Sites, or to access or make posts using text messaging, (c) browse any of the Sites from your mobile device and/or (d) access certain features through a mobile application you have downloaded and installed on your mobile phone (collectively the "Mobile Services"), you must have a mobile communications subscription (or have the consent of the subscriber of such mobile device) for the necessary carrier services with a participating carrier or otherwise have access to a mobile communications network through which Toyota makes the Mobile Services available. To the maximum extent permitted by law, in no event shall Toyota, TFS, TMMC, CAPTIN, any Affiliates and the Dealers, and each of their respective directors, officers, agents, employees, representatives, licensors and those for whom Toyota, TFS, TMMC, CAPTIN and the Affiliates are in law responsible (collectively, the "Toyota Parties") be liable for any special, incidental, indirect, consequential, punitive or exemplary damages of any kind whatsoever (including, without limitation, damages for loss of revenue, loss of profits, failure to realize expected savings, interruption of activities, or any other pecuniary or economic loss) arising out of the use of or inability to use this Site or any product or service described or provided on this Site, even if any of the Toyota Parties have been advised of the possibility of such damages or could reasonably foresee such damages occurring.
In any event, the Toyota Parties' total liability to you for all damages, losses, and causes of action, whether in contract, tort (including negligence), strict liability or otherwise, shall be limited to one hundred dollars ($100). In no event shall any Toyota Party be liable for any damages of any kind arising from the use of any hyper-linked site. You agree that this limitation of liability is comprehensive and applies to all damages of any kind.
You hereby agree to indemnify, defend and hold harmless the Toyota Parties from and against any and all claims, demands, actions, liabilities, losses, costs and expenses (including reasonable legal fees) in connection with: (i) any use or alleged use of this Site under your password by any other person, whether or not authorized by you, (ii) your breach of these Legal Terms and Conditions; and (iii) your violation of any law or the rights of a third party arising out of your use of this Site. The Toyota Parties reserve the right to assume, at their own expense, the exclusive control and defense of any claims, demands and actions arising in connection with this indemnity and you agree to cooperate with the Toyota Parties' defense of these claims, demands and actions.
Toyota, TFS, TMMC, CAPTIN and the Affiliates reserve the right, in their sole respective discretion, to restrict, suspend or terminate your access to all or any part of this Site at any time, for any reason and without prior notice to you and without any liability to you for doing so. Toyota, TFS, TMMC, CAPTIN and the Affiliates may change, modify, suspend or discontinue all or any part of this Site at any time without prior notice to you and without liability to you for doing so.

You agree to regularly review these Legal Terms and Conditions posted at this Site and to be aware of such modifications. Your use of this Site following any such modification constitutes your agreement to follow and be bound by the modified Legal Terms and Conditions. Toyota, TFS, TMMC, CAPTIN and the Affiliates make no representation that the Content on this Site is appropriate or available for use in any particular location. You are responsible for compliance with the local laws of your location, if and to the extent such local laws are applicable. These Legal Terms and Conditions and your use of this Site shall be governed by and construed in accordance with the laws in force in the Province of Ontario and the federal laws of Canada, without reference to any choice of law or conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Legal Terms and Conditions or any communication with or transaction through this Site. Any disputes or claims arising out of or related to these Legal Terms and Conditions or your use of this Site shall be submitted to binding arbitration pursuant to the Arbitration Act 1991 (Ontario) or any successor legislation. Arbitration of all matters will be determined by a single arbitrator acceptable to both parties, acting reasonably, and all such arbitration proceedings shall be held exclusively in Toronto, Ontario.
